Welcome to the knowhub.ai platform! Please read these Terms and Conditions of Use carefully before accessing and using the knowhub.ai platform (hereinafter referred to as the “Platform”). These Terms and Conditions of Use (hereinafter referred to as the “Terms”) govern your access to and use of the website http://www.knowhub.ai, as well as all content, services, and products available on or through this platform.
By accessing and using the Platform’s services, you declare and warrant that you have read, understood, and agreed to all the terms and conditions below. If you are using the Platform’s services on behalf of a company, you declare and warrant that you have the authority to bind that company to these Terms.
These Terms constitute a legally binding agreement between you and knowhub.ai.
We reserve the right to make changes to these Terms at any time. Changes will be communicated by updating the “Last Updated” date of these Terms. It is your responsibility to periodically review these Terms to stay informed of any changes made.
The knowhub.ai platform is owned and operated by SC HEADLIGHT SOLUTIONS SRL, a Romanian company, headquartered in Bucharest, Bucovina Street No. 11, Block G3, Entrance A, 1st Floor, Apartment 8, Room 4, Sector 3, registered with the Trade Register under no. J40/8698/2013, VAT number 31993133.

Eligibility
The services are intended for users who are at least 18 years old. By using the Platform’s services, you declare and warrant that you meet the eligibility requirements.
Accounts and Registration
To access certain features of the services offered by the knowhub.ai platform, you may need to register or create an account by providing all the necessary data or information in a complete, current, and truthful manner.
You are fully responsible for maintaining the confidentiality of your account and for all activities and purchases that occur under or in connection with your user ID.
Users are required to immediately inform the Owner, using the contact details provided in this document, if they believe that their personal information, including but not limited to user accounts, access credentials, or personal data, have been breached, disclosed without justification, or stolen.
Account Suspension and Closure
Users may suspend or close their account and cease using the Service at any time by directly contacting the Owner using the contact details provided in this document.
The Owner reserves the right to suspend or delete user accounts at any time and without notice if they are offensive, inappropriate, or unacceptable or if they violate these Terms.
Reasons for account closure, access restriction, or suspension may include:
(i) Violations of the Terms and Conditions of Use or any other policies or instructions mentioned here and/or posted on the Platform;
(ii) Violations of third-party Terms and Conditions of Use regarding integrated services/resources connected to the Platform, the use of which is contingent on compliance (partially or in full) with the Services;
(iii) A request for the account’s cancellation/suspension;
(iv) A request and/or decision from law enforcement agencies or a state authority;
(v) The user’s involvement in illegal or fraudulent activities;
(vi) Non-payment of the selected subscription price and/or for any other subscriptions related to contracted services.
Upon termination/suspension of the account, you may lose access to the Platform.
Regardless of the reason for account closure or suspension, the Owner will not be liable to the User or any third party for any damages that may result from such termination or suspension of the account.
The suspension or deletion of accounts due to causes attributable to the User does not exempt the User from paying any applicable fees or prices.
User-Provided Content
Knowhub.ai allows you to upload, share, and/or provide your own content through the Platform (to be completed if applicable). Users acknowledge and understand that they bear exclusive responsibility for all content (including, but not limited to: text, audio, video, audio-video, photos, documents, web pages) uploaded, published, or transmitted in/through the Platform. Any content that is illegal, defamatory, offensive, contrary to good morals, or that violates the copyrights or intellectual property rights of other parties is strictly prohibited.
For the acceptable use of the Platform, Users agree to:
(i) Not upload, transmit in/through the Platform illegal, instigating, harassing, threatening, harmful, defamatory, slanderous, offensive, abusive, violent, obscene, vulgar, invasive of privacy content;
(ii) Not upload, transmit in/through the Platform content that exploits or harms children;
(iii) Not violate copyright and related rights through the uploaded/transmitted content;
(iv) Not upload, transmit in/through the Platform materials that contain viruses or any other code, file, program that may disrupt, harm, damage, gain unauthorized access to a computer system, interfere with, or limit the normal operation of the Platform or other software or hardware equipment owned by other users;
(v) Not engage in reverse engineering, reverse compiling, decompiling, translating, or attempting in any other way to discover the source code or core components of the models, algorithms, and systems of the Services (unless such restrictions are contrary to applicable law);
(vi) Not use the results from the Services to develop models that compete with the used OpenAI;
(vii) Not use the services offered by the Platform in any illegal, fraudulent, or deceptive activity.
Users acknowledge and agree that the Owner does not filter or moderate such content and will not be responsible for the accuracy, legality, or appropriateness of user-uploaded content. The Owner reserves the right to delete, refuse, and/or remove content that violates the conditions in this article without prior notice and to take action against users who violate these terms.
Users retain intellectual property rights over the documents they upload to the platform.
Users acknowledge and agree that by providing their own content through the knowhub.ai platform, they grant the Owner a worldwide, non-exclusive, copyright-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works, display, and perform the content in connection with the services offered by the Platform, for the purpose for which such content was transmitted or made available, without any compensation or obligation.
Use of OpenAI APIs
The knowhub.ai platform uses OpenAI’s large language models to generate responses based on the data it has been trained on. While we strive to provide accurate and up-to-date information, we cannot guarantee the accuracy, completeness, or reliability of the information generated by the chatbot. The Owner is not responsible for any incorrect information provided by knowhub.ai.
Access to External Resources
Through the knowhub.ai platform, Users may have access to external resources provided by third parties (e.g., software, services, applications, products, etc.). Users acknowledge and accept that the Owner has no control over these resources and, therefore, is not responsible for their content and availability.
The terms applicable to any resources provided by third parties, including any possible content licensing terms, are governed by the terms and conditions of each third party or, in their absence, by the applicable law.
Purchases
Some of the services offered by the knowhub.ai platform are provided on a payment/subscription basis. Payments for the services used are processed through https://stripe.com, our third-party payment processor. The payment portal provided by Stripe allows users to manage their pricing plan, payment methods, track transaction history, invoices, etc.
Payment processing will be subject to the terms, conditions, and privacy policies of the third-party payment processor, in addition to these Terms of Use. We are not responsible for any errors or other acts or omissions of any payment processor.
Users are informed during the purchasing process and before submitting the order of any prices, fees, and costs that will be charged.
You must provide current, complete, and accurate information for your billing account. You also must promptly update all information to keep your billing account current, complete, and accurate (such as a change in billing address, credit card number, or credit card expiration date), and you must promptly notify us if your payment method is canceled (e.g., due to loss or theft) or if you become aware of a potential security breach, such as the unauthorized disclosure or use of your user name or password.
Please note that Users are responsible for keeping payment information up to date and ensuring timely payments for continued access to the services of the knowhub.ai platform. Failure to maintain valid and updated payment information or failure to make timely payments will constitute a material breach of these Terms and may result in the suspension or closure of the user account.
Unless otherwise agreed in writing, no refunds are provided for subscriptions or other purchases.
Platform Changes
We reserve the right to change the content or technical features of any aspect of the Platform and/or the services offered at any time, based on technical and business opportunities and technological advances. In these conditions, you accept that you may be unable to use the Platform for the entire period of changes or thereafter.
Intellectual Property Rights
All intellectual property rights in the knowhub.ai platform, such as copyrights, trademark rights, patent rights, and design rights related to this application or other related rights, are the exclusive property of the Owner and/or its licensors or partners and are subject to protection under applicable laws or international treaties on intellectual property.
All trademarks – nominal or figurative – and all other trademarks, trade names, illustrations, images, or logos that appear in connection with this platform are and remain the exclusive property of the Owner or its licensors/partners and are subject to protection under applicable laws or international treaties on intellectual property.
Users are granted a limited, revocable, non-commercial, and non-sublicensable right to use the Platform and the content in accordance with the Terms and Conditions of Use.
The use of the Platform, except for the purpose for which it was created, is strictly prohibited and infringes upon the intellectual property rights of the Owner. Using it for other purposes may subject users to liability under Law No. 8/1996 on copyright and related rights.
Software License
Any intellectual or industrial property rights and any other exclusive rights over the software or technical applications incorporated into or related to this platform are owned by the Owner and/or its licensors/partners.
Subject to compliance by Users and without prejudice to any conflicting provisions in these Terms, the Owner only grants Users a revocable, non-exclusive, non-sublicensable, and non-transferable license to use the software and/or any other technical means incorporated into the platform and the services offered for the intended use of the platform. This license does not grant Users any right to access, use, or disclose the original source code. All techniques, algorithms, and procedures contained in the software and any accompanying documentation are the exclusive property of the Owner or its licensors/partners.
All rights and license grants to Users will immediately terminate upon any termination or expiration of the user account.
Limitations and Availability
You agree to use the knowhub.ai platform only for the intended purpose and only to the extent permitted by these Terms and applicable law.
The Owner of the knowhub.ai platform makes every effort to ensure the correctness and availability of the Platform but cannot guarantee uninterrupted and error-free operation. The use of the Platform is at your own risk, and the Owner will not be liable for any kind of damage or harm, moral or financial, direct or indirect, resulting from the use or inability to use the Platform.
The Owner does not guarantee that the knowhub.ai platform or any part of it is suitable or available for use in any particular location. To the extent you choose to access and use the Platform, you will do so at your own initiative and are responsible for compliance with applicable laws.
The knowhub.ai platform is provided “as is” and “as available.” The Owner of the Platform, its employees, and its affiliates expressly disclaim any warranties regarding the use of the Platform, including warranties of: (i) meeting your requirements; (ii) uninterrupted and error-free operation of the Platform; (iii) accuracy and reliability of information.
To the maximum extent permitted by law, the Owner excludes any contractual or tort liability to users or other persons for moral or financial damage, direct or indirect, arising from your use or inability to use the Platform. The Owner does not exclude liability for situations where, as a result of mandatory legal provisions, it cannot be excluded by contract.
The User declares that they understand and accept that, in any situation where the User requests any kind of damages from the Owner of the Platform, the total amount cannot exceed, in any way and in any case, the total amount of the fees paid by the User to the Owner for the use of the Platform.
The Owner of the Platform cannot be held responsible for the integrity and security of data under the control of the User.
Compensation
By accepting the Terms and Conditions of Use, you understand and declare that you will indemnify the Owner of the knowhub.ai platform for any direct or indirect, actual, or unrealized damage, including loss of image or revenue, caused by the breach of obligations in these Terms by you or by persons who access the Platform through your terminal (PC, laptop, mobile device) or by violating any rights of another user or third party.
Confidentiality
Our privacy policy explains how we treat your personal information and protect your privacy when using the services of the Platform. By using the services of the Platform, you agree that we may collect, use, and share data from you as described in our privacy policy.
We are not responsible for any information or content collected by other users that you submit or make available through the use of the Platform’s services. You assume all risks related to privacy, security, and other risks associated with providing any information, including personally identifiable information, to other users of the Platform’s services.
Data Security
We are committed to ensuring the security of user information and stored data. We implement appropriate technical and organizational measures to protect the confidentiality, integrity, and availability of data provided by the User during the use of the Platform’s services. These measures include data encryption, secure storage, network security, and access control.
It is the User’s responsibility to maintain the security of their account credentials and the devices used to access the Platform’s services. The Owner of the Platform cannot be held responsible for unauthorized access or data breaches resulting from the User’s failure to protect their account credentials or device.
Force Majeure
Force majeure is an unforeseeable event beyond the control of the parties that cannot be avoided. The Owner of the Platform cannot be held responsible, directly or indirectly, for causes beyond its control. This exemption includes, but is not limited to, malfunctions of the technical equipment used for the operation of the Platform, the lack of internet connection, the lack of phone connections, computer viruses, unauthorized access to the Platform’s systems, operational errors, etc.
Applicable Law and Dispute Resolution
The Terms and Conditions of Use are governed by the laws in force in Romania.
Any dispute related to the use of the Platform falls under the exclusive jurisdiction of the competent courts in _________________ (you can choose either the court at the HLS headquarters in Bucharest or the courts in Brasov), Romania, and will be resolved in accordance with the applicable law at that time.
Although the User’s right to take legal action will always remain unaffected, in the event of any dispute regarding the use of the knowhub.ai platform or the services offered, Users are requested to contact the Owner at the contact details provided in this document for an amicable resolution.
The User can file a complaint, including a brief description and, if applicable, the details of the order, purchase, or account concerned, at the Owner’s email address specified in this document.
The Owner will process the complaint within 5 working days of receiving it.
